Terms of Service

1.1 These Terms apply to all Services we offer through the VivaReel website, applications, mini programs and any derivative form.

1.2 We may update these Terms from time to time to reflect changes in law, product evolution or operational needs. The updated Terms will be posted on the Platform and become effective upon publication. If you do not agree to the updated Terms, please stop using the Services. Continued use of the Services constitutes acceptance of the updated Terms.

2.1 You agree to provide true, accurate, lawful and complete information during registration and to keep such information up to date.

2.2 You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Please notify us immediately of any unauthorized use or security breach.

2.3 You may not lend, transfer, lease or otherwise make your account available to any third party.

3.1 The Services include, but are not limited to, AI-assisted script understanding, digital actor casting, storyboard generation, image and video generation, video synthesis and export.

3.2 Some Services may require payment or consumption of credits. Pricing rules and credit policies are described on the relevant pages of the Platform.

3.3 We may modify, suspend or discontinue all or part of the Services at our discretion due to business adjustments, technical upgrades or other reasonable causes, with reasonable advance notice where practicable.

You agree to comply with all applicable laws and public morals when using the Services, and you agree NOT to use the Services to:

(a) create, upload or distribute content that violates applicable laws, endangers national security, or promotes terrorism, extremism or hatred;

(b) create, upload or distribute content that infringes any third party's intellectual property, portrait, reputation, privacy or other lawful rights;

(c) create, upload or distribute obscene, pornographic, violent, gambling, fraudulent or otherwise unlawful content;

(d) take any action that may harm the security or stable operation of the Platform, including malicious crawling, abusive API calls or fraudulent earning of credits;

(e) engage in any activity that violates these Terms or applicable laws.

5.1 You are solely responsible for the legality, accuracy and originality of any scripts, prompts, images, audio, video or other content you upload to or generate on the Platform (collectively, "User Content").

5.2 You represent and warrant that you own or have obtained all necessary rights to upload your materials to the Platform.

5.3 To the extent permitted by law, you grant VivaReel a worldwide, non-exclusive, sublicensable, royalty-free license to store, reproduce, adapt, process, transmit and display User Content for the purposes of providing, maintaining and improving the Services and presenting your work to you.

6.1 All marks, text, graphics, interfaces, source code and other materials provided by us on the Platform (excluding User Content) are owned by VivaReel or its licensors and are protected by applicable laws.

6.2 Without our prior written authorization, you may not copy, modify, distribute, sell or use any such materials for commercial purposes.

The Platform may integrate with or link to third-party services such as authentication, payment or model inference providers. Use of such third-party services is governed by the third party's own terms and privacy policies, and VivaReel is not responsible for the content, availability or security of those services.

8.1 Certain features may require payment or consumption of credits. Pricing and credit rules will be displayed on the Platform.

8.2 Unless required by law or otherwise expressly stated by us, paid fees and consumed credits are generally non-refundable.

9.1 If you violate these Terms or applicable laws, we may issue warnings, restrict features, suspend or terminate your account, and reserve the right to pursue legal remedies.

9.2 You may close your account at any time using the in-app settings. After closure, we will handle your data in accordance with our Privacy Policy and applicable law.

10.1 AI-generated content is inherently probabilistic and may contain inaccuracies or errors. It is provided for creative reference only; please verify before any official publication.

10.2 To the maximum extent permitted by applicable law, VivaReel is not liable for service interruptions or data loss caused by force majeure, network failures, third-party service disruptions or similar events.

10.3 To the maximum extent permitted by applicable law, VivaReel shall not be liable for any indirect, incidental, special or punitive damages arising from or in connection with your use of the Services.

11.1 These Terms are governed by and construed in accordance with the laws of the People's Republic of China, excluding its conflict-of-laws rules.

11.2 Any dispute arising out of or in connection with these Terms shall first be resolved through friendly consultation. If consultation fails, either party may submit the dispute to a competent court at the place of VivaReel's registration.

12.1 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.2 Our failure or delay in exercising any right under these Terms shall not constitute a waiver of such right.
